Trade Account Terms and Conditions

1. Introduction These terms and conditions ("Terms") govern the trade account relationship between Street Solutions UK Ltd ("we," "us," or "our") and the applicant company ("you" or "your"). By signing or submitting a trade account application, either online or offline, you agree to these Terms. These Terms shall take precedence over any terms and conditions you may have in place.

2. Payment Terms

2.1. Payment must be made in full within 30 days (net 30) from the date of invoice.

2.2. Payments are considered complete only when funds have cleared in full.

2.3. All materials remain the property of Street Solutions UK Ltd until payment has been received in full.

2.4. Any debts incurred under this agreement will be personally guaranteed by the Directors and the Signatory of this form.

2.5. In the event of failure or default in payment, Street Solutions UK Ltd reserves the right to pursue legal action against the Directors and/or the Signatory of this application form to recover outstanding debts.

2.6. Any alternative payment terms must be explicitly agreed upon in writing and signed by a director of Street Solutions UK Ltd. In the absence of such an agreement, our standard terms will prevail, regardless of any conflicting terms and conditions provided by you.

2.7. Late payments may be subject to interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

3. Binding Agreement

3.1. The submission and signing of the trade account application form, whether online or offline, constitutes a legally binding agreement between you and Street Solutions UK Ltd.

3.2. By submitting the application, you confirm that you have the authority to enter into this agreement on behalf of your company.

4. Priority of Terms

4.1. These Terms take precedence over any other terms and conditions provided by you, whether before or after entering into the agreement.

4.2. Any attempt to override or replace these Terms with your own terms and conditions will be invalid unless explicitly agreed upon in writing and signed by a director of Street Solutions UK Ltd.

5. Credit Limits and Reviews

5.1. Street Solutions UK Ltd reserves the right to set and review credit limits on your account.

5.2. We may suspend or terminate your trade account at any time if payment terms are not adhered to or if your creditworthiness changes.

6. Delivery and Ownership of Goods

6.1. Ownership of goods supplied will remain with Street Solutions UK Ltd until payment is received in full.

6.2. We reserve the right to withhold future deliveries if payments are overdue.

6.3. Split deliveries may occur based on stock availability and warehouse locations. Specific delivery schedules will be communicated at the time of dispatch.

7. Termination of Account

7.1. Either party may terminate the trade account agreement with written notice.

7.2. Upon termination, all outstanding balances will become immediately due.

7.3. Street Solutions UK Ltd reserves the right to terminate the agreement without notice in the event of payment default, insolvency, or breach of these Terms.

8. Amendments to Terms

8.1. Street Solutions UK Ltd reserves the right to amend these Terms at any time. Updates will be communicated to you in writing or via our website.

8.2. Continued use of the trade account after notification of changes constitutes acceptance of the revised Terms.

9. Governing Law

9.1. These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

Credit Payment Terms (Specific Clause) By signing this form, you agree to adhere to Street Solutions UK Ltd’s payment terms, which are as follows:

By applying for and using a trade account with Street Solutions UK Ltd, you agree to be bound by these Terms and Conditions.
